These Terms and Conditions (“Terms”) govern your access to and use of the website nis-2-templates.com (“Website”) and any products or services offered through it, including downloadable document templates (“Templates”), free tools, and informational content (“Content”).

By accessing this Website, purchasing Templates, or using our services, you (“Customer”, “you”, “your”) agree to be bound by these Terms. If you do not agree, please do not use the Website.
2. Nature of Products and Services
2.1 Templates Are Not Legal Advice
All Templates provided through this Website are general-purpose document templates for informational and operational use. They do not constitute legal advice, compliance certification, or a guarantee of regulatory conformity. See our Disclaimer for full details.
2.2 Customer Responsibility
You are solely responsible for:
- Reviewing and adapting all Templates to your specific organisational context, sector, and jurisdiction.
- Having Templates reviewed by qualified legal or cybersecurity professionals before use.
- Ensuring that your use of the Templates complies with applicable national and EU law.
- All decisions made on the basis of our Templates or Content.
3. Orders and Payment
3.1 Digital Products
Templates are digital products delivered electronically as downloadable files (DOCX, XLSX, PPTX, or PDF format). Delivery occurs immediately upon successful payment via download link.
3.2 Prices
All prices are displayed in Euros (€) and include VAT where applicable. For B2B customers within the EU with a valid VAT ID, the reverse-charge mechanism may apply in accordance with EU VAT rules.
3.3 Payment
Payment is processed through our payment provider at the time of purchase. We accept the payment methods displayed at checkout.
4. Right of Withdrawal (EU Consumer Rights)
4.1 Digital Content Exception
In accordance with Article 16(m) of the EU Consumer Rights Directive (2011/83/EU), by purchasing and downloading digital Templates, you expressly consent to the immediate performance of the contract and acknowledge that you lose your right of withdrawal once the download has begun.
4.2 Confirmation
Before completing your purchase, you will be asked to confirm that you understand and agree to the waiver of the right of withdrawal for digital content.
5. Licence and Intellectual Property
5.1 Licence Grant
Upon purchase, we grant you a non-exclusive, non-transferable, perpetual licence to:
- Use, modify, and adapt the purchased Templates for your own organisation’s internal use.
- Create derivative documents based on the Templates for your organisation.
5.2 Restrictions
You may not:
- Resell, redistribute, sublicense, or make the Templates available to third parties as a commercial product.
- Share Templates with third parties outside your organisation (except where required for professional review, e.g., by your legal counsel or auditor).
- Claim the Templates as your own original work for commercial distribution.
- Remove or alter any attribution or copyright notices within the Templates.
5.3 Multi-Entity Use
A single licence covers one legal entity — the company or organisation that placed the order. If you wish to use Templates across multiple legal entities (e.g., subsidiaries, group companies, or your consulting clients), a separate licence is required for each entity.
Consultants and service providers: one standard licence covers one named client organisation only. Each additional client requires its own licence.
For multi-entity use, see our Enterprise Licence, which covers up to 5 organisations. For more than 5 organisations, contact us for a custom written agreement.
6. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability for any claims arising from your use of the Website or Templates shall not exceed the total amount you paid to us in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, data, business, or regulatory penalties.
- We do not warrant that the Templates will ensure compliance with NIS2, any national transposition, or any other regulation.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or wilful misconduct.
7. Indemnification
You agree to indemnify and hold harmless ZILIO Marzena Rewers, its owner, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Templates or Content in a manner inconsistent with these Terms.
- Your failure to obtain appropriate professional advice before implementing the Templates.
- Any third-party claim related to your use of the Templates.
8. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (EU) 2016/679 (GDPR).
9. Amendments
We reserve the right to update these Terms at any time. Changes take effect upon publication on the Website. Continued use of the Website after changes constitutes acceptance of the updated Terms. We recommend checking this page periodically.
10. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that comes closest to the economic intent of the original provision.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Poland. Any disputes shall be subject to the exclusive jurisdiction of the courts in Gliwice, Poland, except where mandatory EU consumer protection law provides for a different jurisdiction.
For consumers resident in the EU, nothing in these Terms affects your rights under the consumer protection laws of your country of residence.
