1. Provider, scope and business customers
1.1 Provider. The Website nis-2-templates.com (“Website”) is operated by ZILIO Marzena Rewers, Gliwicka 35, 42-600 Tarnowskie Góry, Poland, a sole proprietorship registered in the Polish business register CEIDG, VAT ID PL6451705993 (“we”, “us”, “Provider”). Contact: info@nis-2-templates.com.
1.2 Scope. These Terms govern every purchase of digital products on the Website, including document templates, packs, bundles, licences and training materials (“Templates”), and the use of the free services on the Website (free tools, downloads, newsletter and informational content). They also serve as the terms of service (regulamin) for electronically supplied services under the Polish Act of 18 July 2002 on Providing Services by Electronic Means. They are available free of charge on this page and as a downloadable PDF before you order. Any terms and conditions of the Customer do not apply.
1.3 Business customers only. We sell exclusively to businesses and other organisations (B2B). By placing an order you confirm that you are acting for the purposes of your trade, business or profession, and that you are authorised to order on behalf of the organisation named at checkout (“Customer”). Orders from EU countries other than Poland require a valid EU VAT identification number; Polish businesses enter their tax ID (NIP). We may cancel an order that does not contain the details needed to identify the purchasing organisation, and return any amount already paid for that cancelled order. Completed orders are not refundable, except where mandatory law provides otherwise (clauses 4, 6.1 and 14.3).
2. Nature of the products
2.1 Templates are not legal advice. The Templates are general-purpose document templates for informational and operational use. They are the same for every customer and are not tailored to your organisation. They do not constitute legal advice, an audit opinion, compliance certification or a guarantee of regulatory conformity. See our Disclaimer.
2.2 Customer responsibility. You are responsible for:
- reviewing and adapting the Templates to your organisation, sector and jurisdiction;
- having them reviewed by qualified legal or cybersecurity professionals where appropriate;
- making sure your use of the Templates complies with the law that applies to you;
- all decisions you take on the basis of the Templates or the Content.
3. Orders, prices and payment
3.1 Conclusion of the contract. The product pages are an invitation to order. By completing checkout you make a binding offer. The contract is concluded when we send the order confirmation by email.
3.2 Delivery. The Templates are delivered electronically as downloadable files (DOCX, XLSX, PPTX, PDF or ZIP). The download links are made available in the order confirmation and in your account as soon as payment is confirmed. The number of downloads is not limited.
3.3 Prices. All prices are shown in euros (€) excluding VAT. VAT is added at checkout where it applies:
- businesses established in an EU Member State other than Poland with a valid VAT ID: no Polish VAT is charged. The service is taxed in the Customer’s country, and the Customer accounts for the VAT under the reverse-charge mechanism (Article 196 of Council Directive 2006/112/EC). The invoice states “reverse charge” (odwrotne obciążenie);
- businesses established in Poland: 23% Polish VAT;
- businesses established outside the EU: 23% Polish VAT.
3.4 Payment. We accept the payment methods displayed at checkout. Card and other online payments are processed by Stripe. If you choose bank transfer, the download links are released once the full payment has reached our account. An order that is not paid within 14 days may be cancelled.
3.5 Invoices. You receive a VAT invoice after payment. Invoices are issued in accordance with Polish law, including through the Polish National e-Invoicing System (KSeF) where it applies. Polish business customers receive their invoices through KSeF. Other customers receive them by email, with a KSeF verification code where required. You agree to receive invoices electronically. 3.6 Discount codes and upgrade credit. One discount code can be used per order, unless the code says otherwise. Codes have no cash value. An upgrade credit offered after a purchase can be used within the period and under the conditions stated in the offer.
4. Right of withdrawal
As our Customers are businesses, the statutory consumer right of withdrawal does not apply to purchases on this Website. Where mandatory law nevertheless grants such a right, for example to a natural person running a business under Article 7aa(1) of the Polish Consumer Rights Act, the following applies:
4.1 Digital content exception. Before payment you are asked to consent expressly to the immediate supply of the digital content and to acknowledge that you thereby lose the right of withdrawal (Article 16(m) of Directive 2011/83/EU; Article 38(1)(13) of the Polish Consumer Rights Act). The right of withdrawal ends when the download is made available.
4.2 Confirmation. We confirm this consent and acknowledgement in the order confirmation email.
5. Licence
5.1 Licensed Entity. Each standard licence is granted to one legal entity (“Licensed Entity”): the organisation named at checkout. A consultant who buys a standard licence to serve one client may name that client as the Licensed Entity in the order notes or by email before the first use of the Templates for that client.
5.2 Licence grant. On full payment we grant a non-exclusive, non-transferable, perpetual licence to use, copy, modify and adapt the purchased Templates for the internal purposes of the Licensed Entity, and to create derivative documents for it. Training materials may be presented to the management body and staff of the Licensed Entity.
5.3 Restrictions. You may not:
- resell, redistribute, sublicense or make the Templates available to third parties as templates, in original or modified form, for example as a product, a download or a document library;
- share the Templates outside the Licensed Entity, except with its legal counsel, auditors and advisers for review, or with a consultant who works on the Licensed Entity’s documentation;
- present the Templates as your own original work for commercial distribution;
- remove copyright notices from the Templates.
Completed documents that you have adapted for a Licensed Entity belong to that entity and may be used and kept without limit.
5.4 Enterprise Licence. An Enterprise Licence covers up to 5 legal entities in total, either companies of one corporate group or client organisations of a consultant, managed service provider or similar adviser. The consultant may adapt the Templates for each covered entity and deliver the completed documents to it. The Enterprise licence terms supplied with the purchase apply in addition to these Terms and prevail in case of conflict. For more than 5 entities, a separate written agreement is required.
6. Updates, the 30-day update-or-add pledge and support
6.1 30-day update-or-add pledge. If a Template does not fit your environment, or you need a document outside the standard scope, email us within 30 days of the purchase. We will update the Template or add the document. This pledge is not a refund or money-back guarantee, and you keep everything either way.
6.2 Updates. Where a product page includes updates for a stated period, or “lifetime updates”, you can download the revised versions of the purchased Templates that we publish during that period. “Lifetime” means for as long as we offer the product. We decide when and how Templates are revised. We do not undertake to reflect every change in law or guidance within a set time.
6.3 Support. Support is provided by email. Response times stated on product pages (for example “48h priority support”) are counted in business days, Monday to Friday, excluding Polish public holidays.
7. Complaints and statutory warranty
7.1 Complaints. Complaints about any service on the Website (purchased files, the customer account, free tools, downloads or the newsletter) can be sent to info@nis-2-templates.com. Please include the order number, if any, and a description of the problem. We respond within 14 days. Where a complaint about a file is justified, for example a file is missing, cannot be opened or does not match its description, we supply a corrected or complete file.
7.2 Statutory warranty. To the extent permitted by law, the statutory warranty for defects (rękojmia, Article 558 § 1 of the Polish Civil Code) and any other statutory liability for defects are excluded. Your remedies for a defective file are those in clause 7.1 and clause 6.1.
8. Limitation of liability
To the maximum extent permitted by applicable law:
- our total aggregate liability for all claims arising from the Website or the Templates shall not exceed the total amount you paid to us in the 12 months preceding the claim;
- we are not liable for indirect, incidental, consequential or special damages, including loss of profits, data or business, or regulatory penalties;
- we do not warrant that the Templates will ensure compliance with NIS2, any national transposition or any other regulation.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for damage caused intentionally or through gross negligence, or for fraud.
9. Indemnification
You agree to indemnify ZILIO Marzena Rewers against third-party claims, damages and reasonable legal costs arising from your use of the Templates in breach of these Terms or of applicable law.
10. Technical requirements and free services
10.1 Technical requirements. To use the Website and the Templates you need an internet connection, a current web browser with cookies and JavaScript enabled, an email account, and software that opens DOCX, XLSX, PPTX, PDF and ZIP files.
10.2 Free services. The free tools, downloads and the newsletter are provided free of charge, on an as-is basis. You can stop using them at any time; you can unsubscribe from the newsletter through the link in every email. We may change or discontinue a free service at any time.
10.3 Prohibited content. You may not submit unlawful content through the Website’s forms.
10.4 Customer account and free services. A customer account is created when you place an order or register. The contract for the account and for a free service is concluded when you create the account or start using the service. It ends when you ask us by email to delete the account, or when you stop using the free service or unsubscribe. Deleting the account does not affect your licence or your access to invoices, which you can request by email.
10.5 Risks. Using services over the internet carries risks such as malware, phishing and unauthorised access to your accounts. Keep your software up to date and do not open files or links in emails that claim to come from us unless you have checked the sender. We use cookies as described in our Privacy Policy.
11. Data protection
We process personal data in accordance with our Privacy Policy and the General Data Protection Regulation (EU) 2016/679.
12. Changes to these Terms
We may change these Terms for valid reasons, such as changes in law, products or payment methods. Changes apply to orders placed after the new version is published. Your order is governed by the version you accepted at checkout.
13. Severability
If a provision of these Terms is invalid or unenforceable, the other provisions remain in force. The invalid provision is replaced by a valid one that comes closest to its economic purpose.
14. Governing law, jurisdiction and language
14.1 These Terms and every contract concluded under them are governed by the law of the Republic of Poland, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
14.2 The common courts having jurisdiction over Tarnowskie Góry, Poland, have exclusive jurisdiction.
14.3 Where mandatory law grants a natural person running a business the protection of a consumer (Article 385⁵ of the Polish Civil Code; Article 7aa of the Polish Consumer Rights Act), the clauses of these Terms that limit that protection do not apply to that person.
14.4 These Terms are concluded in English.
