Partner Programme Terms

Version 1.0

1. Who we are and what this is

1.1 Provider. The Partner Programme (“Programme”) is run by ZILIO Marzena Rewers, Gliwicka 35, 42-600 Tarnowskie Góry, Poland, a sole proprietorship registered in CEIDG, VAT ID PL6451705993 (“we”, “us”), operator of nis-2-templates.com (“Website”). Contact: info@nis-2-templates.com.

1.2 What the Programme is. You recommend our products to organisations. When an organisation places its first order on the Website with your partner code, it gets a discount and you earn a commission. That is the whole arrangement.

1.3 Contract. These Terms form a contract between us and the business that applies to the Programme (“Partner”, “you”). The contract is concluded when we accept your application by email or by activating your partner account.

2. Who can join

2.1 Businesses only. You must be a business or other organisation acting for the purposes of your trade, business or profession, with:
– a valid EU VAT identification number, or
– for Polish businesses, a tax ID (NIP), or
– for businesses outside the EU, a company or tax registration number from your country.

Private individuals cannot join.

2.2 Accurate details. You confirm that the details in your application (legal name, address, tax number, website, contact person) are correct, and you keep them up to date in your partner account. The person who applies confirms that they are authorised to act for the business.

2.3 Our choice. We decide on each application at our discretion. We do not have to give reasons for refusing one.

2.4 Account. Your partner account and code are for your business only. Keep your login details confidential.

3. Your partner code

3.1 Code. After acceptance you receive a personal partner code and a referral link. The referral link only adds your code to the visitor’s basket; we do not track visitors with cookies for the Programme.

3.2 Customer discount. A customer who enters your code at checkout gets 10% off its first order on the Website. The discount is funded by us.

3.3 Rules for the code.
– It works only on a customer’s first order (see 4.2).
– One discount code per order, as stated in our Terms of Sale; it cannot be combined with other codes or the upgrade credit.
– It has no cash value.
– We may change the discount for future orders with notice under clause 12.

3.4 Attribution. An order is credited to you only if your code was applied to that order. If no code, or another code, was used, no commission is due to you, even if the customer learned about us from you. We do not split commissions.

4. Commission

4.1 Rate. You earn 20% of the net value of a qualifying order.

4.2 Qualifying order. An order qualifies when all of the following apply:
– (a) your code was applied to it;
– (b) it is the first paid order of that customer on the Website. We treat the customer as the same if the billing email, the organisation name or the VAT/tax number matches an earlier paid order;
– (c) payment has been received in full;
– (d) the order is not excluded under clause 4.4.

Later orders by the same customer (including upgrades, add-ons and renewals) do not earn commission.

4.3 Net value. Net value means the amount the customer paid for the order after all discounts and excluding VAT and other taxes, in euro.

4.4 No commission on:
– (a) orders cancelled before payment, or charged back or reversed by the customer’s bank or card issuer;
– (b) orders we cancel under our Terms of Sale (for example, missing business details);
– (c) orders placed by you, your employees, or companies in your group, for their own use. You may still use your code for the customer discount;
– (d) orders obtained in breach of these Terms (clause 6).

4.5 When commission becomes payable. Commission on a qualifying order becomes payable 30 days after we receive payment. If an order is charged back after we have paid you, we deduct that commission from your next payouts or ask you to repay it.

4.6 Statements. Your partner account shows the orders made with your code (date, products, net value, commission). It does not show the customer’s identity, and we will not tell you who the customer is.

5. Payment

5.1 Monthly cycle. By the 10th day of each month we confirm the commission that became payable in the previous month.

5.2 Your invoice. You then issue an invoice to us for that amount, in euro, addressed to ZILIO Marzena Rewers, Gliwicka 35, 42-600 Tarnowskie Góry, Poland, VAT ID PL6451705993:
– EU partners: invoice without VAT, marked “reverse charge” (the service is taxed in Poland, where we are established);
– Polish partners: invoice with the VAT that applies to you, issued as Polish law requires (including KSeF where it applies);
– Partners outside the EU: invoice under your local rules; we account for any Polish VAT under reverse charge.

5.3 Payment term. We pay within 14 days of receiving a correct invoice, by bank transfer (for example through Wise) to the business account named in your partner account. Each party bears its own bank charges.

5.4 Minimum. We pay when the payable amount reaches €50. A smaller amount carries over to the next month. On termination we pay any payable amount regardless of the minimum.

5.5 Your taxes. You are responsible for your own income tax, VAT and social contributions on the commission.

5.6 Withholding tax. If you are not established in Poland, please send us a valid certificate of tax residence before the first payout. Without it, Polish law may require us to withhold tax from the payment. If we must withhold tax, we pay the commission minus that tax and give you a confirmation of the amount withheld.

6. How you may promote us

6.1 Allowed. You may recommend us on your own website, in your own newsletters, on social media, in webinars and presentations, in proposals to your clients, and in direct conversation with people you work with.

6.2 Not allowed. You must not:
– (a) send unsolicited commercial communications — email, SMS, messenger or social-media direct messages, or automated calls — to anyone who has not agreed to receive them under the law that applies (in the EU this includes Article 13 of the ePrivacy Directive and its national rules, for example art. 398 of the Polish Electronic Communications Law and § 7 of the German UWG). Messages to your own existing clients are allowed only where you have a legal basis to send them;
– (b) bid on, or use as keywords, our brand names (“NIS2 Templates”, “nis-2-templates”, “NIS-2-Richtlinie”, “ZILIO”) or misspellings of them in search or social advertising, or register domains or social accounts containing them;
– (c) publish your code on coupon, voucher, cashback or deal websites, or in places where it is offered to the public as a general discount;
– (d) state or imply that our templates guarantee compliance with NIS2 or any other law, lead to certification, are approved by an authority, or replace legal advice or an audit;
– (e) make statements about our products, prices or terms that are not on our Website, or offer your own discounts, refunds or guarantees on our behalf;
– (f) present yourself as us, as our agent or employee, or use our logo or name in a way that suggests that;
– (g) resell, share or redistribute our templates. Delivering templates to several client organisations needs the Enterprise Licence;
– (h) use the Programme in any way that breaks the law, including consumer, competition, advertising and data protection law.

6.3 Disclosure. Where you recommend us in public or to people outside your organisation, make it clear that you receive a commission (for example: “Partner link — I earn a commission”), where the law or the platform requires it.

6.4 Our materials. We grant you a non-exclusive, non-transferable, free licence, for the duration of these Terms, to use our name, logo and the materials in the partner kit to promote the Website under these Terms. You may not change our logo. Text from the partner kit may be shortened or translated if the meaning stays accurate.

6.5 Breach. If you break clause 6.2, we may withhold the commission on orders connected with the breach and terminate under clause 10.3. You are responsible for claims, fines, warning letters (such as an Abmahnung) and reasonable legal costs we incur because of your breach.

7. Data protection

7.1 Separate controllers. You and we each decide independently how we use personal data. Neither of us processes personal data on the other’s behalf.

7.2 Your data. We process the data about you and your contact persons to run the Programme, pay commission and keep tax records, as described in our Privacy Policy (section “Partner Programme”).

7.3 Customer data. We do not give you personal data of the customers who use your code. Do not send us personal data of third parties unless you have a legal basis to do so.

8. Confidentiality

Information marked or reasonably understood as confidential (for example, commission figures and non-public plans) is confidential. Each party uses it only for the Programme and does not disclose it, except where the law requires it. This survives termination for two years.

9. Relationship between us

9.1 Independent businesses. You act in your own name and at your own cost. Nothing in these Terms creates employment, partnership or a joint venture.

9.2 Not an agency. You are not our commercial agent. You have no duty to recommend us or to act continuously for us. You have no authority to negotiate or conclude contracts, accept orders or receive payments for us. The Programme is non-exclusive: you may promote other products, and we may work with other partners.

9.3 Customers. Every sale is a contract between us and the customer under our Terms of Sale. We may decline or cancel an order in line with those Terms.

10. Term and termination

10.1 Term. These Terms apply for an indefinite period from acceptance.

10.2 Termination with notice. Either party may terminate by email with 14 days’ notice, without giving reasons.

10.3 Immediate termination. We may terminate immediately by email if you seriously breach these Terms, including clause 6.2, or provide false details, or if we close the Programme. You may terminate immediately if we change these Terms to your disadvantage (clause 12).

10.4 After termination. Your code stops working. Commission on qualifying orders paid before the end date is still paid under clause 5, except for orders connected with a breach (clause 6.5). Clauses 4.5 (second sentence), 5, 6.5, 8, 11 and 13 survive termination.

11. Liability

11.1 Programme availability. We aim to keep the Website and your partner account available, but we do not guarantee uninterrupted availability or any level of sales or commission.

11.2 Cap. Our total liability under these Terms is limited to the commission paid or payable to you in the 12 months before the event giving rise to the claim. We are not liable for lost profits or indirect damage.

11.3 Exceptions. Clauses 11.1 and 11.2 do not limit liability for damage caused intentionally or through gross negligence, or any other liability that cannot be limited by law.

12. Changes

We may change these Terms for valid reasons, such as changes to the law, the Website, the products or the Programme. We send changes by email at least 14 days before they apply. Commission already earned is calculated under the version in force when the order was paid. If you do not accept a change, you may terminate before it takes effect.

13. Law, courts and language

13.1 These Terms are governed by the law of the Republic of Poland.

13.2 The common courts having jurisdiction over Tarnowskie Góry, Poland, have exclusive jurisdiction.

13.3 These Terms are written in English. If we provide a translation, the English version prevails.

13.4 Notices under these Terms are sent by email: from you to info@nis-2-templates.com; from us to the email address in your partner account.
